This Agreement consists of this letter agreement and Exhibit “A” (collectively hereinafter referred to as “Agreement Documents”) between _________________ (“Company”) whose address is __________________________ and ________________________ (“Producer”) whose address is ________________________________ with respect to Company’s services in connection with the feature length motion picture presently entitled “_______________________________” (“Picture”):
1. Services: Producer hereby engages Company as an independent contractor on a non-exclusive but first priority basis (i.e., provided that services rendered for third parties shall not interfere with Company’s services for Producer hereunder), during the Term to provide the necessary facilities, material, know-how and employees of Company (“Crew”) in connection with the design, creation, production, and supply of certain special make-up effects, including all execution and maintenance services necessary to deliver the special make-up effects contracted for hereunder (individually and collectively referred to herein as the “Work”).
